Investment Objectives
Venture investments in the creation of payment institutions
The Fund implements a strategy focused on creating and scaling payment institutions across various EEA jurisdictions. Investment decisions are based on regulatory requirements, market potential, and the strategic feasibility of launching new payment companies.
The Fund independently establishes SPVs (Special Purpose Vehicles), which are used to obtain licenses and create payment and electronic money institutions (EMIs). SPVs are utilised to structure investments, minimise risks, and efficiently manage newly established financial entities.
To assess investment decisions, the Fund conducts research, including regulatory landscape and licensing requirements in the target jurisdiction, payment services market infrastructure, competition levels, demand for new financial solutions, financial sustainability of the project, capital expenditures for licensing, technological development, market entry, cooperation with other Fund projects, potential consolidation, and scalability within the SPV structure.
The Portfolio Manager conducts comprehensive due diligence before launching each new SPV and payment institution. Technical and legal expertise may be delegated to local consultants, but they provide advisory support only and do not participate in decision-making.
The Fund invests through SPVs and intermediary holding companies, considering legal requirements, tax optimisation, and commercial feasibility in the respective jurisdiction.
In the case of joint ventures, the Fund’s participation is structured through wholly owned subsidiaries or local enterprises controlled by such subsidiaries.

Investment in the fund may only be permitted to Eligible Persons, as such term is defined in the section titled “DEFINITIONS” of the fund’s Prospectus. Each Prospective Partner is responsible for seeking advice on the terms’ meaning and deciding if they qualify or are willing to be treated as such.
Each Partner will have to prove a capacity for compliance and AML purposes.
Minimum Capital Raising
The fund’s General Partner determined the Minimum Capital Raising amount specified in the Fund Offering Summary sub-section of the Prospectus, which constitutes the minimum capital required for the fund to commence operations.
Initial Subscription Price
The General Partner determined the amount of the Initial Subscription Price, which is specified in the Fund Offering Summary sub-section of the fund’s Prospectus.
