Venture investments in the development of IT solutions for the financial sector

The Fund’s strategy focuses on developing and scaling IT solutions in the financial technology sector and acquiring equity stakes in existing companies with high growth potential. Its primary focus is digital payment technologies, open banking infrastructure, compliance automation, transaction processing platforms, backend/frontend management systems, and other FinTech solutions.

Investment decisions are based on the potential for technological innovation, regulatory requirements, market demand, and strategic feasibility of investing in new or already operating companies.

The Fund applies a flexible investment approach, including the establishment of SPVs (Special Purpose Vehicles) to finance IT development, obtain regulatory licenses, and manage assets, direct equity investments in existing FinTech companies with significant scaling potential, convertible loans and strategic partnerships to finance technology development and market expansion.

To support investment decisions, the Fund conducts comprehensive research and due diligence, including an analysis of the regulatory landscape and compliance requirements for IT solutions in the financial sector, FinTech market infrastructure, competitive landscape, and demand for digital financial services, technological feasibility and scalability, sustainability of software development and platform integration, financial stability of projects, capital expenditures for R&D, licensing, and market entry, synergies with other Fund projects, and potential for consolidation and joint growth.

The Portfolio Manager conducts thorough due diligence before each investment, whether through SPVs or acquiring stakes in existing companies. Technical and legal expertise may be delegated to local consultants, who provide advisory support but do not participate in decision-making.

The Fund invests through SPVs, directly by purchasing obligations, or by acquiring equity stakes in companies, depending on legal requirements, tax optimisation, and commercial feasibility.

In the case of joint ventures, the Fund’s participation is structured through wholly owned subsidiaries or local enterprises controlled by such subsidiaries.

SPV companies are utilised to fund software development, secure regulatory certifications, and scale operations, ensuring a structured approach to building and expanding FinTech solutions.

The Fund finances technology innovation, market deployment, and regulatory adaptation through equity investments, convertible loans, and strategic technology partnerships. The Portfolio Manager actively supports portfolio companies in securing follow-on investments, navigating regulatory challenges, and expanding into new markets.

Target Markets

The fund invests in regulated markets. Main Target Markets are specified in the Key Features sub-section of the fund’s Prospectus.

Eligible Persons

Investment in the fund may only be permitted to Eligible Persons, as such term is defined in the section titled “DEFINITIONS” of the fund’s Prospectus. Each Prospective Partner is responsible for seeking advice on the terms’ meaning and deciding if they qualify or are willing to be treated as such.

Each Partner will have to prove a capacity for compliance and AML purposes.

Minimum Capital Raising

The fund’s General Partner determined the Minimum Capital Raising amount specified in the Fund Offering Summary sub-section of the Prospectus, which constitutes the minimum capital required for the fund to commence operations.

Initial Subscription Price

The General Partner determined the amount of the Initial Subscription Price, which is specified in the Fund Offering Summary sub-section of the fund’s Prospectus.

Investment in the fund may entail significant risks associated with Portfolio concentration. Partners are encouraged to draw their attention to the risk considerations outlined in the section of the fund’s Prospectus titled “RISK FACTORS’’.
